Registering an LLC or a Foreign Branch in Syria
Whether you're establishing a new limited
liability company (LLC) or setting up a branch of a foreign entity, the legal
process in Syria involves several clear steps:
1. Power of Attorney (PoA)
A Power of Attorney must be issued in favor of
a local attorney to act on behalf of the partners in incorporating the company.
If issued abroad: The PoA must be notarized and
legalized by the Syrian consulate in the country of issuance. If the consulate
is not operational, legalization must occur in a nearby country with a
functioning Syrian consulate. For example, the Syrian consulate in Tokyo covers
South Korea, while Havana covers Canada.
Once the PoA reaches Syria, it typically takes
1 to 3 months to obtain mandatory security clearance.
If signed in Syria: The process is much faster.
A locally notarized PoA can be used immediately without the need for consular
authentication.
2. Required Corporate Documents
To register a foreign branch or participate in
an LLC setup, the following documents must be submitted:
Certificate of Incorporation
Memorandum and Articles of Association
Board Resolution authorizing the company to
establish an LLC or branch in Syria
Proof of paid-up capital (minimum approximately
USD 5,000)
Audited financial statements of the parent company
for the most recent fiscal year
Proof of good legal standing (i.e., no
bankruptcy or legal violations)
These documents must be legalized by the
Ministry of Foreign Affairs in the country of origin and then attested by the
Syrian consulate before being submitted to Syrian authorities for security
clearance.
3. Legal Registration Process
Once the documentation is complete and approved:
The attorney will lease an office on behalf of
the company.
Register the entity with the General Commission
for Taxes and Fees.
Register the business with the Commercial
Registry.
Complete any additional formalities required by
Syrian law.
4. Appointing a General Manager
If the general manager is a foreign national, a
Syrian work permit is mandatory and must be renewed annually. The process can
be complex and requires the manager’s physical presence in Syria for extended periods.
For simplicity, many companies choose to appoint a Syrian national as general
manager.
5. Office Requirement
A company must lease or own a physical office
in Syria, classified as a commercial real estate unit. Even a small one-room
office satisfies this requirement, but the lease must be maintained as long as
the company exists.

1. Legal & Incorporation Fees
Starting at a minimum of USD 8,000 (includes
attorney fees, registration costs, and administrative expenses).
Note: Special business activities like
construction may require additional licenses. For example, the official
Builders' Union membership fee is €30,000, while activities like e-commerce or
general trading do not incur such costs. Industrial or health-related sectors may
have their own regulatory requirements.
2. Office Rental
Office rental prices vary. For a medium-sized
office in central Damascus, the starting rate is around USD 1,000/month.
Alternative: Registering a Syrian Company
Forming a fully Syrian-registered company can
reduce costs significantly — especially in relation to union membership fees.
All shareholders can be foreign nationals, but the appointed general manager
must be Syrian.
